CINCHtrade’s addition of products and services created by our users information will not be at the detriment of our core purpose, or the privacy of our users.
2. PRIVACY OF RETAILERS (buyer / users) of CINCHtrade.
CINCHtrade will not share the direct contact information of any Retailer with any other user of CINCHtrade, except that Retailers will have the ability to unlock their profile and contact information (and thereby provide) their information to Suppliers and Sales Reps. When placing orders, a Retailers profile and contact information will automatically be available to the Supplier and Sales Representative associated with the order in order to process the transaction.
3. PRIVACY FOR SUPPLIERS AND SALES REPS (seller / users) of CINCHtrade
CINCHtrade will not share a Supplier or Sales Reps brand information with any other Supplier or Sales Rep user. All Supplier and Sales Rep information, including brand, product and contact information is available to all CINCHtrade Retailer users. CINCHtrade reserves the right to modify the terms of Privacy herein.

Use of CINCHtrade by Retailer Users is for the sole purpose of conducting professional, wholesale only trade with Sellers and Sales Groups for the benefit of a legal Retail User. The manner which CINCHtrade operates, and information provided by Retailers, Suppliers and Sales Groups via CINCHtrade available to the User is not generally known to the public and is considered proprietary and highly confidential. Users accept that disclosing to any individual or entity the manner which CINCHtrade operates, or data within CINCHtrade, will cause considerable harm to CINCHtrade and its users.
ACCEPTABLE RETAILER USER USE
Retail Users must be a legally formed Retail entity, which exists to purchase products at wholesale from suppliers, for the purpose to resell the product directly to the end consumer. The administrative user for each CINCHtrade Retail User may add additional users ONLY for the authorized employees and owners of their Retail entity, for the sole purpose of conducting trade on behalf of the Retail entity. It is the responsibility of the primary (administrative) Retailer User to ensure compliance of CINCHtrade’s terms of use & privacy with any additional users the Retail User administrator authorizes.
PROHIBITED RETAILER USER USE

The administrative user for each CINCHtrade Supplier User may add additional users ONLY for the authorized employees and owners of their Supplier entity, for the sole purpose of conducting trade on behalf of the Supplier entity. Suppliers have the ability to pre-authorize their Retailers for acceptance as legitimate Retailer Users into the CINCHtrade community. To maintain the integrity of the CINCHtrade product, and to protect and preserve confidential Supplier information, it is the responsibility of the Supplier to VERIFY that each pre-registered Retailer is a LEGAL Retail entity. It is also the responsibility of the primary (administrative) Supplier User to ensure compliance of CINCHtrade’s terms of use with any additional Supplier Users the Supplier administrator authorizes.

SUPPLIER SUBSCRIPTION TERMS
Supplier Subscription Terms apply to both FREE (or basic) and PAID (or featured) Suppliers unless otherwise specified.
PAID Supplier subscriptions are prepaid and are on an annual basis. All amounts due CINCHtrade by the user, are due upon completion of registration or renewal, and on receipt of invoices for additional services authorized by the user. CINCHtrade reserves the right to suspend user access to their account for amounts not paid within 15 days of receipt of Invoice. A Supplier may terminate their CINCHtrade account at anytime, however there are NO REFUNDS for early termination, and there are NO REFUNDS for termination of a Supplier account by CINCHtrade for misuse of the Supplier Terms of Use. FREE Supplier subscriptions are on a month to month subscription, and FREE Suppliers may terminate their subscription at anytime. CINCHtrade reserves the right to terminate a FREE Supplier subscription with 30 days notice, or without notice for misuse of the Supplier Terms of Use.
FREE Supplier Subscriptions are valid ONLY for Suppliers who’s principal place of business is the United States. All Suppliers who’s principal place of business, and the point of shipment is OUTSIDE the United States must register as a “Featured” or (Paid) Supplier.
CINCHtrade is not obligated to extend subscription prices beyond the existing subscription expiration date. Changes in pricing from CINCHtrade will be provided 30 days in advance of any price change.
CINCHtrade utilizes industry standard methods of security and redundant systems for the safety and reliability of all data, however CINCHtrade is NOT intended as the PRIMARY means to store important data for its users, and CINCHtrade further recommends all users utilize additional methods of receiving and maintaining recordkeeping for all important data and transactions. CINCHtrade is NOT responsible for damages as a result of lost data or transactions.
A Distributor (defined as an entity, which represents a manufacturer or brand, but is not the manufacturer or brand owner, and is authorized to offer for sale the manufacturers goods) must register with CINCHtrade as a Sales Group.

CINCHtrade exists to provide services to legitimate Retailers, Sales Groups, Sales Reps and Suppliers within the Retail Trade industry. Businesses, Individuals, Related Parties or Entities which are similar in scope to the services provided by CINCHtrade are STRICTLY prohibited from registering with CINCHtrade as any type of entity, EVEN if the entity being registered is a legitimate Retailer, Sales Group, Sales Rep or Supplier entity. Any information obtained by any business, individual or related party which provides similar services as CINCHtrade, whether by registering as a CINCHtrade user, using a legitimate users login credentials, or information obtained by a legitimate user is a violation of our terms of use, and will result in damages to CINCHtrade as a result of misuse of these terms. Violation of these terms by any Business, Individual or Related Party of a Business providing similar services as CINCHtrade are subject to legal action by CINCHtrade in a geographical venue, and arbitration, mediation or court to be chosen by CINCHtrade.

CINCHtrade utilizes industry standard methods of security and redundant systems for the safety and reliability of all data, however CINCHtrade is NOT intended as the PRIMARY means to store important data for its users, and CINCHtrade further recommends all users utilize additional methods of receiving and maintaining recordkeeping for all important data and transactions. CINCHtrade is NOT responsible for damages as a result of lost data or transactions.
A Distributor (defined as an entity, which represents a manufacturer or brand, but is not the manufacturer or brand owner, and is authorized to offer for sale the manufacturers goods) must register with CINCHtrade as a Sales Group.
CINCHtrade and SUPPLIER USER TERMS
CINCHtrade maintains the right to change any functions of CINCHtrade, to enhance, in CINCHtrade’s discretion the user experience. Those registering as a Supplier User do so with the full authority of the Legal Supplier Entity. CINCHtrade reserves the right to terminate a Supplier Users access to CINCHtrade for any reason, including the Supplier Users violation of any prohibited activity described herein. Damages to CINCHtrade, its Retailer, Supplier and Sales Group users for Supplier User misuse could be significant, and Supplier Users acknowledge misuse could cause irreparable harm to CINCHtrade and its users. In the event of a dispute between a CINCHtrade user and CINCHtrade, CINCHtrade shall have the authority to choose (a) geographical venue and (b) binding arbitration or court of law to resolve the dispute. It is the responsibility of ALL CINCHtrade users to review our Terms of Use, which WILL BE modified from time to time, at www.CINCHtrade.com.
SALES GROUP USER TERMS OF USE (Version 1 – April 1st 2011)
SALES GROUP USERS
Use of CINCHtrade by Sales Group Users is for the sole purpose of conducting professional, wholesale only trade with Retailers and Suppliers for the benefit of a legal Sales Group User. The manner which CINCHtrade operates, and information provided by Retailers, Suppliers and Sales Groups via CINCHtrade available to the User is not generally known to the public and is considered proprietary and highly confidential. Users accept that disclosing to any individual or entity the manner which CINCHtrade operates, or data within CINCHtrade, will cause considerable harm to CINCHtrade and its users.
ACCEPTABLE SALES GROUP USE
Sales Group Users must be a legally formed Sales Group entity, which exists to sell & represent products at wholesale to Retailers with the purpose of the Retail entity to resell the product directly to the end consumer. The administrative user for each CINCHtrade Sales Group User may add additional users ONLY for the authorized employees and owners of their Sales Group entity, for the sole purpose of conducting trade on behalf of the Sales Group entity. Sales Groups have the ability to pre-authorize their Retailers for acceptance as legitimate Retailer Users into the CINCHtrade community. To maintain the integrity of the CINCHtrade product, and to protect and preserve confidential Supplier & Sales Group information, it is the responsibility of the Sales Group to VERIFY that each pre-registered Retailer is a LEGAL Retail entity. It is also the responsibility of the primary (administrative) Sales Group User to ensure compliance of CINCHtrade’s terms of use with any additional Sales Group Users the Sales Group administrator authorizes.
PROHIBITED SALES GROUP USE
It is STRICTLY prohibited for Sales Group Users to:
(1) share any information obtained via CINCHtrade with any other person or entity, including but not limited to other Retailers, Suppliers, Sales Reps, or Individuals or Businesses which provide similar services as CINCHtrade.
(2) provide their CINCHtrade login name or password with any other person or entity.
(3) to use any information obtained via CINCHtrade for personal use.
(4) you, or a related party may NOT register with CINCHtrade as a Retailer User if you, or a related party are also a CINCHtrade Supplier or Sales Group User. In the event you are (both) a Supplier or Sales Group (and) a Retailer, you must request, and receive a WRITTEN exception from CINCHtrade that you are authorized to obtain a Retail User identity. In the event you are granted an exception to register as a Retail User (when you, or a related party is also a Supplier or Sales Group user), that Retail User account is still subject to all remaining conditions in the Retailer User terms of use.
SALES GROUP SUBSCRIPTION TERMS
All amounts due CINCHtrade by the Sales Group user, are due upon completion of registration or renewal. CINCHtrade reserves the right to suspend user access to their account for amounts not paid within 15 days of receipt of Invoice. A Sales Group may terminate their CINCHtrade account at anytime, however there are NO REFUNDS for early termination, and there are NO REFUNDS for termination of a Sales Group account by CINCHtrade for misuse of the Sales Group Terms of Use.

NOTICE TO COMPETITORS OF CINCHtrade, BUSINESSES WHO PROVIDE SIMILAR SERVICES AS CINCHtrade, and INDIVIDUALS or RELATED PARTIES TO BUSINESSES WHO PROVIDE SIMILAR SERVICES AS CINCHtrade.
CINCHtrade exists to provide services to legitimate Retailers, Sales Groups, Sales Reps and Suppliers within the Retail Trade industry. Businesses, Individuals, Related Parties or Entities which are similar in scope to the services provided by CINCHtrade are STRICTLY prohibited from registering with CINCHtrade as any type of entity, EVEN if the entity being registered is a legitimate Retailer, Sales Group, Sales Rep or Supplier entity. Any information obtained by any business, individual or related party which provides similar services as CINCHtrade, whether by registering as a CINCHtrade user, using a legitimate users login credentials, or information obtained by a legitimate user is a violation of our terms of use, and will result in damages to CINCHtrade as a result of misuse of these terms. Violation of these terms by any Business, Individual or Related Party of a Business providing similar services as CINCHtrade are subject to legal action by CINCHtrade in a geographical venue, and arbitration, mediation or court to be chosen by CINCHtrade.
